END USER LICENSE AGREEMENT (EULA)

1. PREAMBLE

This End User License Agreement ("EULA") is a legal agreement between the user ("you") and DiViNe Samples, regarding the acquisition, download, and use of audio content available on https://www.divinesamples.com/.

By purchasing, downloading, or using any product from DiViNe Samples, you agree to be bound by the terms of this agreement. If you do not agree to these terms, do not purchase or use DiViNe Samples' products.

2. PURPOSE OF THE LICENSE

DiViNe Samples grants you a non-exclusive, non-transferable, non-sublicensable, worldwide license to use the purchased audio files from the Site for musical and sound production purposes ("Licensed Products"). This license does not in any way transfer the intellectual property rights of the concerned files.

3. GRANTED RIGHTS

Subject to compliance with the terms of this EULA, you are authorized to:

• Use the Licensed Products in your musical compositions, sound productions, films, video games, podcasts, or any other audiovisual media.
• Distribute and sell your final productions incorporating the Licensed Products in a mixed form (i.e., not isolated).
• Synchronize the Licensed Products in audiovisual productions, including for commercial purposes.

4. USAGE RESTRICTIONS

You are not authorized to:

• Resell, redistribute, share, or provide access to the audio files in an isolated manner, even for free.
• Claim ownership of the Licensed Products as your own.
• Use the Licensed Products to create a competing product, including sound libraries, sample banks, plugins, or any other similar product.
• Register the Licensed Products as a trademark, copyright, or other legal protection, in their original form.
• Use the Licensed Products in an unlawful manner or in violation of applicable laws.

Any violation of these restrictions will result in the immediate termination of the license, without refund, and may lead to legal action.

5. INTELLECTUAL PROPERTY

All Licensed Products remain the exclusive property of their creator/sound designer and/or their licensors. No ownership rights are transferred to the user. The purchase of a Licensed Product constitutes only an authorization to use it in accordance with the conditions set forth in this agreement.

6. LIMITATION OF LIABILITY

DiViNe Samples shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the Licensed Products.

The Licensed Products are provided "as is" without any express or implied warranties, including any warranties of merchantability or fitness for a particular purpose.

7. TERMINATION

DiViNe Samples reserves the right to terminate your license without prior notice in case of violation of these terms. Upon termination, you must immediately cease all use of the Licensed Products and delete all copies in your possession.

8. GOVERNING LAW AND JURISDICTION

This EULA is governed and interpreted in accordance with the laws of France. Any dispute related to this agreement shall be subject to the exclusive jurisdiction of the courts of Paris.

9. GENERAL PROVISIONS

• If any provision of this agreement is deemed invalid, it shall not affect the validity of the remaining provisions.
• This agreement constitutes the entire agreement between you and DiViNe Samples regarding the use of the Licensed Products and supersedes any prior communication.
